This document is an electronic record under the Information Technology Act, 2000 and rules thereunder, as amended. It is generated by a computer system and does not require physical or digital signatures. This agreement is a legally binding contract between Licensee and M VED INTERNATIONAL LLP. You are advised to read these Terms carefully. If you disagree with any terms, do not use the Service and notify M VED INTERNATIONAL LLP.

These Terms of Use, including the Privacy Policy (as amended, the “Terms”), form a legally binding agreement between you and us. They outline the terms, conditions, and rules for your access and use of the indiabuyon Platform and its Services. By installing, downloading, accessing, using, or transacting on the Platform, you agree to these Terms. If you do not agree, you must not use the Platform. Registering, signing in, or browsing indiabuyon signifies your full consent to these Terms.

The Platform operates as a marketplace, governed by applicable laws, allowing Users to browse and select products from Sellers’ listings.

The Platform facilitates product discovery, recommendations, order placement, payments, order tracking, customer support, and feedback redressal (“Services”).

Your use of the Platform and Services is governed by these Terms of Use, including applicable policies incorporated by reference. Transacting on the Platform subjects you to its policies. Using the Platform contracts you with Hippo Innovations, and these terms and policies form your binding obligations.

ACCESSING, BROWSING, OR USING THE PLATFORM INDICATES YOUR AGREEMENT TO THESE TERMS OF USE. READ THEM CAREFULLY BEFORE PROCEEDING. By accepting these Terms, you also agree to indiabuyon’s policies, as amended.

In case of conflict between these Terms and other documents, these Terms prevail for Platform access and use.

These Terms do not bind Hippo Innovations unless you meet the eligibility criteria outlined below.

GENERAL TERMS OF USE

A. Eligibility

1. indiabuyon’s Platform, software, and Services are available only to individuals or companies who can form legally binding contracts under applicable law. The Services are not available to persons under 18. If registering as a business, you represent eligibility and authority to bind the entity. indiabuyon may verify registration information and reserves the right to revoke licenses or refuse Services if information is deemed incorrect.
2. Sellers must create an account and provide requested information. indiabuyon may reject applications at its discretion.
3. Sellers must keep account information accurate and notify indiabuyon of changes.
4. Only one Seller Account is allowed unless approved. indiabuyon may cancel accounts for suspected multiple registrations or reject applications at its discretion.
5. indiabuyon assumes anyone using your login credentials is you. You are responsible for actions under your Seller Account.
6. indiabuyon may determine Service availability at its discretion and is not obligated to verify or liable for promised Services in specific areas.

B. Your Rights as a User or Seller

1. Subject to compliance with these Terms, indiabuyon grants a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and Services. This does not transfer ownership rights.
2. indiabuyon does not permit unfair trade practices or discriminate between Users of the same class. Sellers must adhere to this.

b) You confirm having necessary licenses and permits for sale, as required by law.
c) You authorize indiabuyon to address customer grievances on your behalf and consent to displaying your provided details on listed Products.

D. Representations and Warranties

You represent and warrant that you will:

1. Provide true, accurate, current, and complete information, keeping it updated.
2. Not solicit others’ account information or access accounts not belonging to you.
3. Not probe, scan, or test Platform vulnerabilities or breach security.
4. Not extract data or impose unreasonable loads on the Platform.
5. Not circumvent Platform operations or fees.
6. Not collect User information via automated means without permission.
7. Not reproduce, copy, or exploit the Platform for commercial purposes without consent.
8. Not violate these Terms or encourage violations.
9. Not make statements violating others’ legal rights.
10. Not engage in spamming or phishing.
11. Not engage in unlawful activities or cyber terrorism.
12. Not copy or exploit proprietary directories or listings.
13. Not undermine Platform data or systems.
14. Not create liability for indiabuyon or affiliates.
15. Not host, upload, or share harmful, defamatory, or unlawful content, including content violating privacy, intellectual property, or promoting illegal activities.
16. Notify indiabuyon if your password is compromised or if content violates these Terms.

E. Terms Pertaining to Sellers

a) Buyer and Seller Transactions

1. Commercial terms (price, shipping, payment, delivery, warranties) are between Buyers and Sellers. indiabuyon has no control or involvement.
2. A Buyer’s order is an offer, not Seller acceptance. Sellers may cancel orders at their discretion, with refunds issued. Sellers may cancel orders exceeding typical consumption.
3. indiabuyon makes no warranty on product specifics (quality, value, salability) and accepts no liability for errors.
4. indiabuyon is not responsible for contract breaches or transaction performance between Buyers and Sellers.
5. indiabuyon does not verify User specifics (title, creditworthiness) and advises independent verification.
6. indiabuyon does not possess or hold title to Products and has no obligations or liabilities for contracts.
7. The Platform is for communication; contracts are strictly between Buyer and Seller.

b) Seller Obligations

1. Ensure Product listings comply with laws and are accurate.
2. Ensure Products are in stock; remove out-of-stock listings promptly.
3. Ship Products per Platform delivery timelines, securely packaged.
4. Be responsible for all taxes, duties, and licenses for Product sales.
5. Hold necessary rights and permissions to sell Products.
6. Avoid fraudulent or deceptive practices and misrepresentation.

c) Fees and Payment

1. Sellers pay Hippo Innovations fees per policies.
2. Hippo Innovations remits payments to Sellers, less fees, per policies.

d) Order Cancellation

1. indiabuyon may cancel orders exceeding agreed delivery times, even if dispatched. Sellers must adhere to timelines and update statuses.
2. For delivery delays by logistics, indiabuyon consults Sellers. No Seller response results in resolution favoring the Buyer.

e) Shipping and Delivery

1. Sellers must ship and deliver Products timely per indiabuyon policies.
2. Sellers may use default logistics or specify charges and partners. Sellers bear logistics costs.
3. Sellers indemnify indiabuyon against duties, taxes, or charges levied on shipments.
4. Sellers comply with statutory requirements for booking, sale, and transport.
5. Sellers must not ship banned, illegal, or restricted items. indiabuyon is not liable for such items.
6. Freight is calculated on volumetric or actual weight, whichever is higher.
7. indiabuyon is a bailee, not an insurer, of Products.
8. indiabuyon may return unaccepted Products, applying RTO charges. Sellers must accept returns or face demurrage charges after 7 days, with disposal after 45 days.
9. For reverse pickups, Sellers bear charges. Logistics providers are not responsible for verifying contents or packaging quality. Sellers handle damage claims per policies.
10. Deliveries are on a “Said to Contain” basis; indiabuyon is not liable for Product usability.

f) Seller Manager Role

1. Seller Managers streamline onboarding and manage Seller accounts.
2. Accounts referred by entities may have assigned Seller Managers.
3. Seller accounts remain owned by Sellers, not Managers.
4. Seller Managers handle catalog, orders, and operations, not billing or payouts.
5. Sellers may opt out of Seller Manager services.

g) Customer Service

1. Sellers provide prompt, courteous customer service per indiabuyon policies.
2. Sellers respond to inquiries or disputes and work with indiabuyon for resolution.

h) General Terms

1. Buyer orders are offers; Sellers may cancel at discretion with refunds.
2. indiabuyon makes no warranty on product specifics and accepts no liability.
3. indiabuyon is not responsible for contract breaches or transaction performance.
4. indiabuyon does not possess or hold title to Products.
5. Contracts are bipartite between Buyer and Seller.
6. Sellers certify compliance with anti-corruption laws and allow audits by indiabuyon.
7. Sellers notify indiabuyon of ownership or management changes within 30 days.

F. Use of the Platform

You shall not:

1. Share content you do not have rights to.
2. Share harmful, defamatory, or unlawful content.
3. Share misleading or offensive content.
4. Harass or advocate harassment.
5. Send junk mail or spam.
6. Promote illegal activities.
7. Violate intellectual property or privacy rights.
8. Share pirated or restricted content.
9. Exploit or solicit personal information.
10. Provide illegal activity instructions.
11. Share unauthorized images or videos.
12. Attempt unauthorized access.
13. Engage in unauthorized commercial activities.
14. Solicit illegal gambling.
15. Interfere with Platform use.
16. Share inappropriate URLs.
17. Harm minors.
18. Infringe proprietary rights.
19. Violate laws.
20. Mislead or impersonate.
21. Share harmful software or code.
22. Threaten national security or public order.
23. Trade prohibited items.
24. Cause loss of ISP services.
25. Use scraping or automated tools to access Platform content.
26. Gain unauthorized access.
27. Probe or breach Platform security.
28. Defame indiabuyon or Sellers.
29. Interfere with Platform operations.
30. Forge headers or impersonate others.
31. Violate applicable laws.
32. Grant indiabuyon a non-exclusive, perpetual license to use your information per Terms and Privacy Policy.
33. Provide accurate product information without exaggeration.
34. Avoid unsolicited advertising or solicitation.

G. Intellectual Property Rights

1. Platform Content (text, graphics, logos, etc.) is owned by indiabuyon and protected by law. These Terms do not convey rights to Platform Content. indiabuyon retains rights to your feedback.
2. You grant indiabuyon a royalty-free, perpetual license to use your Content for business purposes.
3. Sellers warrant they have rights to their content. indiabuyon is not liable for violations and may monitor or remove content.
4. Marks are owned by indiabuyon or third parties; use requires consent.
5. You shall not copy, extract, or utilize Platform Content without permission or use data mining tools.

H. Your Liability

1. You assume all risks for Platform use, including unauthorized versions.
2. You are responsible for system damage, data loss, or violations caused by your account use.
3. Maximum liability for shipment issues is INR 1000, with claims submitted within one month.

I. Indemnity

1. You indemnify indiabuyon against liabilities from your Content, Platform use, or breaches.
2. You release indiabuyon from third-party claims.
3. indiabuyon may assume defense of indemnified matters.

J. Our Rights

1. For breaches or unverifiable information, indiabuyon may limit privileges, inspect accounts, suspend/terminate access, report to authorities, or seek relief.
2. Suspended Users may not re-register without reinstatement.

K. Pricing and Payment

1. Product Prices include taxes and fees, may reflect discounts, and must not exceed MRP.
2. Transactions are between Buyers and Sellers; indiabuyon facilitates payments but is not liable.
3. Payment facility is not a banking service; indiabuyon is an independent contractor.
4. Sellers comply with GST laws and provide HSN codes and GSTIN.
5. indiabuyon collects and remits tax at source; Sellers handle any mismatches.

L. Termination

1. indiabuyon may terminate access for legal requests, your request, Platform changes, breaches, or business interests.
2. You may delete your account per Terms.
3. Termination allows indiabuyon to delete your Content without liability.
4. Sellers must cease Platform use and remove listings upon termination.
5. Termination does not affect owed amounts.

M. No Warranty and Limitation of Liabilities

1. Services are “AS IS” and “AS AVAILABLE.” indiabuyon disclaims warranties for content accuracy, security, or availability.
2. indiabuyon’s liability is limited to payments received for the service or month, excluding special or consequential damages.
3. You are responsible for content use; indiabuyon is not liable for third-party content.
4. Liability is capped at INR 1000.
5. Additional disclaimers: Platform use is at your risk; no warranties on content, availability, or security; no professional advice; Seller handles product warranties.

N. Assignment

You cannot assign your account or obligations. indiabuyon may assign these Terms.

O. Compliance

You comply with Indian laws and E-Commerce Rules, 2020. Access from outside India is at your risk.

P. Severability

Invalid provisions do not affect remaining Terms.

Q. Waiver

Failure to enforce Terms is not a waiver.

R. Electronic Communications

You consent to communications via provided contact details.

S. Governing Law and Dispute Resolution

Governed by Indian laws. Disputes are subject to exclusive jurisdiction of New Delhi courts. indiabuyon may modify Terms without consent, with major changes communicated.

T. Relationship

No partnership or agency is created.

U. Third-Party Websites/Links

1. indiabuyon is not responsible for third-party links or content.
2. You are liable for losses from third-party link use; transactions are bipartite.

V. Amendment

indiabuyon may amend Terms without notice. Continued use indicates acceptance.

W. Grievance Redressal

Contact grievance.officer@indiabuyon.in. Grievances are acknowledged within 24 hours and resolved within 15 business days.

Y. Force Majeure

Neither party is liable for delays due to uncontrollable events, but must mitigate impacts.
